1. Acceptance of Terms

By installing, accessing, or using ResultShield Lite™ (the "Extension" or "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you and Ayo Health Solutions.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you as an individual and the organization.

2. Description of Service

ResultShield Lite™ is an AI-powered Chrome browser extension designed to assist healthcare organizations, insurance companies, and related entities in detecting potential fraud, waste, and abuse in medical insurance claims. The Service provides:

• Automated analysis of uploaded healthcare claims documents using artificial intelligence and machine learning algorithms
• Identification of potential fraud indicators, anomalies, and suspicious patterns
• Risk scoring and flagging of claims requiring further investigation
• Quantification of potential financial losses and recovery opportunities
• Reporting and analytics dashboards for claims analysis insights
• Integration with existing claims management workflows

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use ResultShield Lite™. The Service is intended for professional use by healthcare organizations, insurance companies, claims processors, and related business entities.

3.2 Account Registration

To access certain features of the Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms or engaged in fraudulent, abusive, or illegal activity.

4. Permitted Use and Restrictions

4.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Extension for your internal business purposes in accordance with these Terms.

4.2 Prohibited Activities

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of applicable laws and regulations
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Extension
• Modify, adapt, translate, or create derivative works based on the Service
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Extension
• Use the Service to transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to our systems, networks, or data
• Interfere with or disrupt the integrity or performance of the Service
• Use automated scripts, bots, or scrapers to access or extract data from the Service
• Resell, sublicense, rent, lease, or distribute the Service to third parties
• Use the Service to process data on behalf of third parties without proper authorization
• Upload or process data that you do not have the legal right to access or use
• Use the Service in a manner that violates the privacy rights or intellectual property rights of others

4.3 Compliance with Healthcare Regulations

If you are subject to healthcare privacy regulations such as HIPAA (Health Insurance Portability and Accountability Act), you are solely responsible for ensuring that your use of ResultShield Lite™ complies with all applicable requirements. You must:

• Obtain all necessary consents and authorizations before uploading protected health information (PHI)
• Implement appropriate safeguards to protect the confidentiality and security of healthcare data
• Enter into a Business Associate Agreement (BAA) with us if required by HIPAA
• Comply with all applicable data protection and privacy laws in your jurisdiction

5. User Content and Data

5.1 Your Responsibility

You retain ownership of all data, documents, and content you upload to or process through the Service ("User Content"). You are solely responsible for:

• The accuracy, quality, and legality of User Content
• Obtaining all necessary rights, permissions, and consents to upload and process User Content
• Ensuring User Content does not violate any laws, regulations, or third-party rights

5.2 License to Process User Content

By uploading User Content to the Service, you grant us a limited, non-exclusive, worldwide license to access, process, analyze, and store User Content solely for the purpose of providing the Service to you and improving our fraud detection algorithms. We will not use User Content for any other purpose without your explicit consent.

5.3 Data Security

While we implement reasonable security measures to protect User Content, you acknowledge that no system is completely secure. We are not liable for unauthorized access to or disclosure of User Content resulting from circumstances beyond our reasonable control.

6. Intellectual Property Rights

6.1 Our Rights

ResultShield Lite™, including the Extension, software, algorithms, user interface, design, trademarks, logos, and all related intellectual property, is owned by Ayo Health Solutions and protected by copyright, trademark, patent, and other intellectual property laws. These Terms do not grant you any ownership rights in the Service.

6.2 Feedback

If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our products and services without any obligation to you.

6.3 Trademarks

"ResultShield Lite," "ResultShield," and associated logos are trademarks of Ayo Health Solutions. You may not use these trademarks without our prior written permission.

7. Service Availability and Modifications

7.1 Service Availability

We strive to provide reliable and uninterrupted access to the Service, but we do not guarantee that the Service will be available at all times or free from errors. The Service may be temporarily unavailable due to:

• Scheduled maintenance and updates
• Technical difficulties or system failures
• Circumstances beyond our reasonable control

7.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the Service without liability.

7.3 Updates

We may release updates, patches, or new versions of the Extension from time to time. You agree to install updates promptly to maintain security and functionality. Continued use of outdated versions may result in reduced functionality or security vulnerabilities.

8. Fees and Payment

8.1 Pricing

Certain features of ResultShield Lite™ may require payment of fees. Current pricing information is available on our website or within the Extension. We reserve the right to change our pricing at any time with reasonable notice.

8.2 Payment Terms

If you subscribe to a paid plan, you agree to pay all applicable fees according to the billing terms in effect at the time. Fees are non-refundable except as required by law or as expressly stated in these Terms.

8.3 Automatic Renewal

Subscription plans may automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for renewal fees.

8.4 Taxes

Fees do not include applicable taxes, duties, or government charges. You are responsible for paying all such amounts in addition to the fees.

9. Disclaimers and Limitations

9.1 No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

9.2 Not Professional Advice

ResultShield Lite™ is a tool designed to assist in fraud detection and claims analysis. It does not provide legal, medical, financial, or professional advice. The Service's outputs, including fraud risk scores and flagged claims, are for informational purposes only and should not be the sole basis for decision-making.

You are solely responsible for:

• Verifying the accuracy of the Service's analysis and recommendations
• Conducting appropriate due diligence and investigation before taking action
• Consulting with qualified professionals (legal, medical, financial) as needed
• Making final decisions regarding claims processing, fraud investigations, and related matters

9.3 AI and Machine Learning Limitations

The Service uses artificial intelligence and machine learning algorithms that may produce false positives (incorrectly flagging legitimate claims) or false negatives (failing to detect fraudulent claims). You acknowledge these limitations and agree to use human judgment and oversight when acting on the Service's outputs.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AYO HEALTH SOLUTIONS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of third parties on or through the Service
• Unauthorized access, use, or alteration of your User Content
• Decisions made based on the Service's analysis or recommendations
• Any errors, inaccuracies, or omissions in the Service's outputs

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Ayo Health Solutions, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any laws, regulations, or third-party rights
• Your User Content
• Any decisions or actions you take based on the Service's outputs

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law principles.

12.2 Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the dispute through good faith negotiations.

12.3 Arbitration

If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to binding arbitration in accordance with the Arbitration Act of Kenya. The arbitration shall be conducted in Nairobi, Kenya, in the English language.

12.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

12.5 Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

13. Term and Termination

13.1 Term

These Terms commence when you first install or use the Extension and continue until terminated in accordance with this section.

13.2 Termination by You

You may terminate these Terms at any time by uninstalling the Extension and ceasing all use of the Service. If you have a paid subscription, you must also cancel your subscription through the appropriate channels.

13.3 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you:

• Breach these Terms
• Engage in fraudulent, abusive, or illegal activity
• Fail to pay applicable fees
• Use the Service in a manner that causes harm to us or other users

13.4 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• You must uninstall the Extension and cease all use of the Service
• We may delete your account and User Content in accordance with our data retention policies
• Sections of these Terms that by their nature should survive termination (including intellectual property rights, disclaimers, limitations of liability, and dispute resolution) shall remain in effect

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Ayo Health Solutions regarding the Service and supersede all prior agreements and understandings.

14.2 Amendments

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms with a new "Last Updated" date and, where appropriate, through the Extension or via email. Your continued use of the Service after changes are posted constitutes your acceptance of the modified Terms.

14.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative.

14.4 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

14.5 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction, including to any affiliate or in connection with a merger, acquisition, or sale of assets.

14.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as expressly stated herein.

14.7 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

14.8 Export Compliance

You agree to comply with all applicable export and import control laws and regulations in your use of the Service. You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not on any government list of prohibited or restricted parties.

14.9 Language

These Terms are drafted in English. Any translations are provided for convenience only. In the event of any conflict between the English version and a translated version, the English version shall prevail.
